Any foreign individual or entity—whether EU, EEA, Swiss, U.S., or non-EU—can register a Polish limited liability company (Sp. z o.o.), joint-stock company, or other legal forms. However, sole proprietorships and partnerships may require EU/EEA citizenship or a residence/work permit
02 Do I need a residence permit to operate?
EU/EEA/Swiss/U.S. citizens can own and run a capital company in Poland without a resident visa. Non-EU nationals need a residence/work permit only if they intend to manage daily operations onsite.
03 Can the company be registered remotely?
Yes. Many company types—including Sp. z o.o. and branches—can be registered remotely via the Polish S24 e‑system, or through a local legal representative
04 What is the minimum share capital?
Setting up an Sp. z o.o. requires at least PLN 5,000 (can be cash, assets, or in-kind contributions)
05 Which legal form is best?
Sp. z o.o. is the most common choice due to limited liability and flexibility. Other options include joint-stock companies (S.A.), simple joint-stock companies (P.S.A.), partnerships, branches, or representative offices—each with its own benefits depending on strategy and scale

The process can take 1–5 business days if done online via S24; traditional notarial registration may take between a few days to several weeks
07 What about taxes and reporting?
Corporate tax is 19% (or a reduced 9% for revenues up to ~EUR 2 million). After incorporation, the company is automatically registered for NIP (tax ID), REGON (statistical number), and Beneficial Owners (CRBR). VAT and ZUS registration may also be required depending on business activity
08 Are industry-specific licences required?
